AGREEMENT TO TERMS

This website is operated by Crowdmuse Inc.. Throughout the website and associated services, the terms “Crowdmuse”, “we”, “us”, or “our” refer to Crowdmuse Inc. Crowdmuse provides our services and related products through our website located at www.crowdmuse.com and www.crowdmuse.xyz (collectively, the “Site”) and related technologies (the “Service”). Accessing, browsing, or using the Service, including the Site and any other aspect thereof, implies your acknowledgment, understanding, and agreement to be bound by the "Terms of Service." These Terms of Service govern all users of the site, encompassing browsers, vendors, customers, merchants, and content contributors. In the event that you do not accept the terms and conditions stated in these "Terms of Service," you shall refrain from accessing, browsing, or using the Service.

By accessing the Site or making a purchase from us or our partners, you engage in our "Service" and explicitly consent to be bound by the "Terms of Service," which incorporate additional terms, conditions, and policies referenced herein or accessible through hyperlinks.

Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Service at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of these Terms of Service, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms of Service to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Service by your continued use of the Site after the date such revised Terms of Service are posted.

The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Site. If you are a minor, you must have your parent or guardian read and agree to these Terms of Service prior to you using the Site.

These Terms may be translated into other languages, but the governing language is English in the event of any contradiction in terms between the English and foreign translation.

1. DEFINITIONS

"Site" refers to the www.crowdmuse.com, www.crowdmuse.xyz, APIs, software and blockchain applications or any approved means or utility either currently in existence or in the future; the software and source code used by Crowdmuse to provide such services; user interface layouts, designs, images, text, knowledge base articles, program offers; site information provided in reports (such as popular keyword searches); and all other intellectual property protected under copyright, trademark, patent, publicity, or any other proprietary right

“Non-fungible Token (NFT)” in these Terms of Service uses smart contracts on a blockchain. A blockchain provides an immutable ledger of all transactions that occur on the blockchain. This means that NFTs are outside of the control of any one party, including Crowdmuse, and are subject to many risks and uncertainties. Crowdmuse neither owns nor controls any blockchain network, your browser, or any other third party site, product, or service (including third party wallets or marketplaces) that you might access, visit, or use for the purpose of enabling you to use the various features of the Service. Crowdmuse will not be liable for the acts or omissions of any third parties, nor will Crowdmuse be liable for any damage that you may suffer as a result of your transactions or any other interaction with any third parties. In connection with your use of the Service, Crowdmuse may provide you with a Crowdmuse NFT (“Fashion NFT”), created, minted, offered and/or sold by or through the Service. Aside from transferring control of a Fashion NFT to you, as applicable, Crowdmuse has no control over the transfer, storage, ownership or maintenance of these Fashion NFT. If you own a Fashion NFT, you may receive special Utility, experience, access, or opportunities on the Service, as determined by Crowdmuse in our sole discretion (“Utility”). Crowdmuse does not make any representation or guarantee that you will receive any Utility or achieve any particular outcome as a result of owning a Fashion NFT. Crowdmuse reserves the right, at its sole discretion, to restrict, limit, or deny any Utility to you, for any reason, at any time. Utility are not intended to be an endorsement of any Crowdmuse, project, creator, NFT, individual or any other thing, and Crowdmuse makes no recommendation and provides no investment advice in connection with any Utility or otherwise as a result of holding or owning a Fashion NFT.

“Digi-physical content” is data, designs or products produced and delivered in digital and physical form.

“Creator” is the natural or legal person who offers access to digi-physical content, services and/or products to consumers at a distance.

“Collaboration partner” is the legal business who offers their services in the production of Fashion NFTs to be sold on the Site.

“Royalty contract” is a smart contract agreement between the Site, Creator, Collaboration Partner, and Users within the framework of an organized system for the distance sale of products, digital content and/or services, whereby exclusive or partial use is made up to and including the conclusion of the agreement.

“Artifacts” are the digital files uploaded by the Creator, or otherwise made available to the Consumer, for use on the Site. That can be identified as a file available for duplication and licensing, as consented by the Product Owner of the Artifact. An Artifact may include 3D models, CL03D files, technical drawings, pdf and/or digital tech packs, photographs, imagery, shapes and vector graphics, contributor information, factory information, Additionally, a Artifacts may include a number of individual files of different file formats to make it easier for Customers to work in a variety of software applications, and may also include other files (such as jpeg images), and images or other files that are used for promotional purposes. For Customers and their use in Creations, this definition also includes derivative and intermediary files used for that purpose

“Intellectual Property” refers to Site Content, Trademarks, User Content, and Third-Party Materials described in the section 4. Intellectual Property.

“Commercial Use” means unless otherwise expressly authorized herein or in the Service, you agree not to display, distribute, license, perform, publish, reproduce, duplicate, copy, create derivative works from, modify, sell, grant access to, resell, transfer, or otherwise use or exploit any portion of the Service for any commercial purpose.

“Ownership restrictions” include the technology and software underlying the Service (including the smart contract behind ‘Signature Capsules’ Fashion NFT) or distributed in connection therewith are the property of Crowdmuse. You agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble, or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any right in the Software. Any rights not expressly granted herein are reserved by Crowdmuse.

“Supplementary agreement” is any agreement whereby the consumer acquires products, digital content and/or services in connection with a distance contract and these goods, digital content and/or services are delivered by the entrepreneur or by a third party on the basis of an agreement between that third party and the entrepreneur

“Consumer” is the natural person who does not act for purposes related to his trade, business, craft or profession

To make reading this agreement easier and less repetitive, the following constructions are used:

“Include,” “including,” and “such as” are considered to be followed with “but not limited to.”

Examples are used in this agreement to illustrate, rather than limit, the scope of the terms.

“The following restrictions”, “the foregoing restrictions”, and “subject to the restrictions” are considered to be followed with “in addition to all other restrictions applicable within this agreement.”

3. CONDITIONS OF ACCESS AND GENERAL USE

Ownership: Except as expressly licensed to you in these Terms, and in other agreements provided to you by Crowdmuse such as your own designs, Crowdmuse retains all ownership, right, title, and interest in and to the services provided by Crowdmuse (the Site).

The technology and software underlying the Service (including Crowdmuse NFTs) or distributed in connection therewith are the property of Crowdmuse, its affiliates, and its licensors (the “Software”). You agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble, or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any right in the Software. Any rights not expressly granted herein are reserved by Crowdmuse.

User Conduct: You are solely responsible for all code, video, images, information, data, text, software, music, sound, photographs, graphics, messages, and other materials (“Content”) that you make available to Crowdmuse, including by uploading, posting, publishing, or displaying (hereinafter, “upload”) via the Service or by emailing or otherwise making available to other users of the Service (collectively, “User Content”). The following are examples of the kinds of content and/or uses that are illegal or prohibited by Crowdmuse. Crowdmuse reserves the right to investigate and take appropriate legal action against anyone who, in Crowdmuse’s sole discretion, violates this provision, including removing the offending content from the Service, suspending or terminating the account of such violators, and reporting the violator to law enforcement authorities. You agree to not use the Service to:

  • upload any content that (i) infringes any intellectual property or other proprietary rights of any party; (ii) you do not have a right to upload under any law or under contractual or fiduciary relationships; (iii) contains software viruses or any other computer code, files or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment; (iv) poses or creates a privacy or security risk to any person; (v) constitutes unsolicited or unauthorized advertising, promotional materials, commercial activities and/or sales, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” “contests,” “sweepstakes,” or any other form of solicitation; (vi) is unlawful, harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another’s privacy, hateful, discriminatory, or otherwise objectionable; or (vii) in the sole judgment of Crowdmuse, is objectionable or which restricts or inhibits any other person from using or enjoying the Service, or which may expose Crowdmuse or its users to any harm or liability of any type;
  • interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies, or regulations of networks connected to the Service;
  • violate any applicable local, state, national, or international law
  • impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;
  • solicit personal information from anyone under the age of 18;
  • harvest or collect email addresses or other contact information of other users from the Service by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications;
  • advertise or offer to sell or buy any goods or services for any business purpose that is not specifically authorized;
  • further or promote any criminal activity or enterprise or provide instructional information about illegal activities;
  • obtain or attempt to access or otherwise obtain any content or information through any means not intentionally made available or provided for through the Service;
  • circumvent, remove, alter, deactivate, degrade, or thwart any of the content protections in or geographic restrictions on any content (including Service Content (as defined below)) available on or through the Service, including through the use of virtual private networks; or
  • engage in or use any data mining, robots, scraping, or similar data gathering or extraction methods. If you are blocked by Crowdmuse from accessing the Service (including by blocking your IP address), you agree not to implement any measures to circumvent such blocking (e.g., by masking your IP address or using a proxy IP address or virtual private network);
  • engage in deceptive or manipulative trading activities in any way, including using the Service to conceal economic activity, launder money, or finance terrorism;
  • create or list counterfeit items or assets;
  • create user accounts by automated means or under false or fraudulent pretenses;
  • access or use the Service to carry out financial activities subject to registration or licensing, including but not limited to creating, listing, or buying securities, commodities, options, real estate, or debt instruments; or
  • access or use the Service to participate in fundraising for a business, protocol, or platform, including but not limited to creating, listing, or buying assets that are redeemable for financial instruments, assets that give users rights to participate in an ICO or any securities offering, or assets that entitle users to financial rewards, including but not limited to, DeFi yield bonuses, staking bonuses, and burn discounts, provided that the foregoing will not restrict the legal use of any proceeds resulting from your permitted use of the Service.

Unauthorized Use: If you use the Site in an unauthorized way, Crowdmuse may terminate your account and pursue other penalties, damages, losses, and profits to which Crowdmuse is entitled under this agreement or at law or equity. The following uses of the Site are explicitly prohibited:

  • Except as expressly licensed to you, using an in-line link, frame, or forging headers around or URLs, or otherwise repackaging the Site in any way for commercial purposes;
  • Obscuring or removing any watermark, copyright, or other proprietary notice from the Crowdmuse's Products;

Competitors: Without express written permission from Crowdmuse, individuals who are contributors, employees, independent contractors, agents, or affiliates of any Crowdmuse competitors or related companies are strictly prohibited from accessing, viewing, or using any part of the Site. By accessing, using, or viewing the Site, you affirm and guarantee that you are not a competitor of Crowdmuse or any of its affiliates, nor are you acting on behalf of a Crowdmuse competitor while accessing or using the Site.

Commercial Use: Unless explicitly authorized in these terms or within the Service itself, you agree not to engage in any commercial activities involving any portion of the Service. This includes, but is not limited to, displaying, distributing, licensing, performing, publishing, reproducing, duplicating, creating derivative works, modifying, selling, granting access to, reselling, transferring, or otherwise exploiting any part of the Service for commercial purposes.

Special Notice for International Use; Export Controls: Crowdmuse is based in the United States. If you access or use the Service from outside the United States, you do so at your own risk. Regardless of your location, it is your sole responsibility to ensure compliance with the laws of your specific jurisdiction. The software provided in connection with the Service, as well as the transmission of relevant data, if applicable, are subject to United States export controls. No software may be downloaded from the Service or exported or re-exported in violation of U.S. export laws. Your downloading or use of the software is undertaken solely at your own risk.

4. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) are protected by copyright, patent, trademark, trade secret, or other proprietary rights and laws. Except as expressly authorized by Crowdmuse, you agree not to copy, modify, scrape, rent, lease, loan, sell, distribute, or create derivative works based on the Service or the Content, in whole or in part, except that the foregoing does not apply to your own User Content (as defined below) that you upload to or make available through the Service in accordance with these Terms of Service. Any use of the Service or the Service Content other than as specifically authorized herein is strictly prohibited.

The Crowdmuse trademarks, service marks, and logos contained therein (the “Trademarks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the Netherlands, international copyright laws, and international conventions. Other Crowdmuse, product, and service names and logos used and displayed via the Site may be trademarks or service marks of their respective owners who may or may not endorse or be affiliated with or connected to Crowdmuse. The Content and the Trademarks are provided on the Site “AS IS” for your information and personal use only. Except as expressly provided in these Terms of Service, no part of the Site and no Content or Trademarks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

You hereby gaurantee that you possess all rights, titles, and interests in your content, referred to as "User Content," including copyrights and rights of publicity embedded therein. Unless explicitly specified, you grant Crowdmuse and its affiliated companies, successors, you assign a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable (directly and indirectly through multiple tiers), perpetual, and irrevocable license, and allow Crowdmuse to copy, display, upload, perform, distribute, store, modify, and utilize your User Content for the operation of the Service (including any Crowdmuse NFT), as well as the promotion, advertising, or marketing of the aforementioned, in any form, medium, or technology currently known or developed in the future. You accept all associated risks regarding your User Content and its transmission, assuming sole responsibility for its accuracy, quality, legality, and appropriateness.

Users must comply with all laws, rules and regulations applicable to them when using the Site, specifically avoiding the infringement of the rights of third parties and infringement of intellectual property rights.

If you suspect that your work has been copied in a manner that constitutes copyright infringement or if your intellectual property rights have been otherwise violated, it is important to notify Crowdmuse about your claim of infringement by following the procedure outlined below. Crowdmuse will conduct an investigation and handle notices of alleged infringement appropriately, in accordance with the Digital Millennium Copyright Act ("DMCA") and other applicable laws governing intellectual property. To submit a notification of claimed copyright infringement, please email Crowdmuse's Copyright Agent at gm@crowdmuse.com, using the subject line "DMCA Takedown Request". The notification must be provided in writing and include the following details:

  • A physical or electronic signature of an individual authorized to act on behalf of the copyright owner or intellectual property holder who is allegedly infringed.
  • Identification of the copyrighted work or intellectual property that you claim has been infringed. If multiple copyrighted works or intellectual properties are involved, please provide a representative list.
  • Description of the content that is believed to be infringing or the subject of infringing activity, along with specific information on its location within the Service to enable its identification.
  • Your address, telephone number, and email address.
  • A statement by you, made in good faith, that the disputed use is not authorized by the copyright or intellectual property owner, its agent, or the law.
  • A statement by you, made under penalty of perjury, that the information provided in your notice is accurate, and that you are the copyright or intellectual property owner or authorized to act on behalf of the owner of the allegedly infringed copyright or intellectual property.

Under no circumstances will Crowdmuse be liable in any way for any content or materials of any third parties or users (the “Third-Party Material”), including for any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any such content. You acknowledge that Crowdmuse does not pre-screen content, but that Crowdmuse and its affiliated parties will have the right (but not the obligation) in their sole discretion to refuse or remove any content that is available via the Service. Without limiting the foregoing, Crowdmuse and its affiliated parties will have the right to remove any content that violates these Terms of Service or is deemed by Crowdmuse, in its sole discretion, to be otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any content, including any reliance on the accuracy, completeness, or usefulness of such content.

Provided that you are eligible to use the Site, you are granted a limited license to access and use the Site and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. We reserve all rights not expressly granted to you in and to the Site, the Content and the Trademarks.

You hereby authorize Crowdmuse and its third-party service providers to derive statistical and usage data relating to your use of the Service (“Usage Data”). We may use Usage Data for any purpose in accordance with applicable law and our Privacy Policy.

Any questions, comments, suggestions, ideas, feedback, reviews, or other information about the Service, provided by you to Crowdmuse are non-confidential and Crowdmuse will be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment, attribution, or compensation to you.

You acknowledge and agree that Crowdmuse may preserve User Content and may also disclose User Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process, applicable laws, or government requests; (b) enforce these Terms of Service; (c) respond to claims that any content violates the rights of third parties; or (d) protect the rights, property, or personal safety of Crowdmuse, its users, or the public. You understand that the technical processing and transmission of the Service, including your User Content, may involve (i) transmissions over various networks; and (ii) changes to conform and adapt to technical requirements of connecting networks or devices.

5. USER REPRESENTATIONS

By using the Site, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms of Service; (4) you are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the Site; (5) you will not access the Site through automated or non-human means, whether through a bot, script or otherwise; (6) you will not use the Site for any illegal or unauthorized purpose; and (7) your use of the Site will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof).

6. USER REGISTRATION

In order to buy or co-create products on the Site and to use the Services, you will have to connect with your digital Wallet and optionally create a profile. When you register on the Site, you agree to provide truthful, accurate, current and complete information. It is important that you always maintain and timely update your Account Information to keep this information current and complete at all times. We will use this information for the purposes and in the manner described in the Privacy Policy.

7. PRODUCTS

We make every effort to display as accurately as possible the colors, features, specifications, and details of the products available on the Site. However, we do not guarantee that the colors, features, specifications, and details of the products will be accurate, complete, reliable, current, or free of other errors, and your electronic display may not accurately reflect the actual colors and details of the products. All products are subject to availability and we cannot guarantee that items will be in stock. We reserve the right to discontinue or remove any products at any time for any reason. Prices for all products are subject to change.

8. PURCHASES AND PAYMENT

We accept the following forms of payment:

  • Crypto (USDC)
  • Credit Card

You agree to provide current, complete, and accurate purchase and account information as needed for all purchases made via the Site. Sales tax will be added to the price of purchases as deemed required by us. We may change prices at any time. All payments shall be in MATIC.

You agree to pay all charges at the prices then in effect for your purchases and any applicable shipping fees, and you authorize us to charge your chosen payment provider for any such amounts upon placing your order. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment. We reserve the right to refuse any order placed through the Site. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same payment method, and/or orders that use the same billing or shipping address. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors.

Crowmuse has integrated payment service providers to process payments using Crypto and Credit Card/SEPA through the Site. In order to make a purchase, the User will enter into an agreement directly with the payment service provider, and the User will accept the terms and conditions of the payment service provider.

Payment of the Total Price may be made by MATIC, credit or such other payment method as may be entered on the Site from time to time. If a User provides a credit or debit card or other payment method believed to belong to a third party on the Site, the User may be required to provide additional proof that such credit card, debit card or other payment method actually belongs to the User.

9. DELIVERY AND RETURN POLICY

Please review our Return Policy prior to making any purchases.

All fashion NFT sales are final and no refund will be issued. The Site is not responsible for delivery, returns or exchange of products sold, all responsibility rests on the Collaboration Partners’ Terms of Service.

Physical product delivery is handled by Collaboration Partners. All physical product purchases and redemptions are final (non-refundable) and no returns are accepted as products are made-to-order or hitting factory minimums. Specifically, we cannot offer returns because:

  • Upon fashion NFT purchase, since this is a physical made-to-order product, automatically kicks off production and costs are incurred immediately.
  • The price of NFTs may fluctuate based on demand for the product, as all products sold are unique and limited.

As per EU law, this means customers cannot cancel their NFT purchase.

Delivery is handled by Collaboration Partners. Physical product redemptions are final (non-refundable) and no returns are accepted, unless otherwise stated on the Collaboration Partners’ product return policy.

Any losses or damages outside of Collaboration Partners’ control are case-by-case on resolutions and not guaranteed.

10. PROHIBITED ACTIVITIES

You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Site, you agree not to:

  • Make any unauthorized use of the Site, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.
  • Use the Site to advertise or offer to sell goods and services.
  • Circumvent, disable, or otherwise interfere with security-related features of the Site, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Site and/or the Content contained therein.
  • Make improper use of our support services or submit false reports of abuse or misconduct.
  • Interfere with, disrupt, or create an undue burden on the Site or the networks or services connected to the Site.
  • Use any information obtained from the Site in order to harass, abuse, or harm another person.
  • Use the Site as part of any effort to compete with us or otherwise use the Site and/or the Content for any revenue-generating endeavor or commercial enterprise.
  • Attempt to bypass any measures of the Site designed to prevent or restrict access to the Site, or any portion of the Site.
  • Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Site to you.
  • Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Site.

11. USER GENERATED CONTRIBUTIONS

The Site does not offer users to submit or post content. We may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Site, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, "Contributions"). Contributions may be viewable by other users of the Site and through third-party websites. As such, any Contributions you transmit may be treated in accordance with the Site Privacy Policy. When you create or make available any Contributions, you thereby represent and warrant that:

  • The creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of your Contributions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party.
  • You are the creator and owner of or have the necessary licenses, rights, consents, releases, and permissions to use and to authorize us, the Site, and other users of the Site to use your Contributions in any manner contemplated by the Site and these Terms of Service.
  • You have the written consent, release, and/or permission of each and every identifiable individual person in your Contributions to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of your Contributions in any manner contemplated by the Site and these Terms of Service.
  • Your Contributions are not false, inaccurate, or misleading.
  • Your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation.
    6. Your Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable (as determined by us).
  • Your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone.
  • Your Contributions are not used to harass or threaten (in the legal sense of those terms) any other person and to promote violence against a specific person or class of people.
  • Your Contributions do not violate any applicable law, regulation, or rule.

12. CONTRIBUTION LICENSE

You and Site agree that we may access, store, process, and use any information and personal data that you provide following the terms of the Privacy Policy and your choices (including settings).

By submitting suggestions or other feedback regarding the Site, you agree that we can use and share such feedback for any purpose without compensation to you.

We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you in any area on the Site. You are solely responsible for your Contributions to the Site and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.

13. SUBMISSIONS

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Site or the Marketplace Offerings ("Submissions") provided by you to us are non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you. You hereby waive all moral rights to any such Submissions, and you hereby warrant that any such Submissions are original with you or that you have the right to submit such Submissions. You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your Submissions.

14. THIRD-PARTY WEBSITES AND CONTENT

The Site may contain (or you may be sent via the Site or the Marketplace Offerings) links to other websites ("Third-Party Websites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties ("Third-Party Content"). Such Third Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third Party Websites accessed through the Site or any Third-Party Content posted on, available through, or installed from the Site, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or Content.

15. SITE MANAGEMENT

We reserve the right, but not the obligation, to: (1) monitor the Site for violations of these Terms of Service; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms of Service, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Site or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Site in a manner designed to protect our rights and property and to facilitate the proper functioning of the Site and the Marketplace Offerings.

16. PRIVACY POLICY

We care about data privacy and security. By using the Site or the Marketplace Offerings, you agree to be bound by our Privacy Policy posted on the Site, which is incorporated into these Terms of Service. Please be advised the Site and the Marketplace Offerings are hosted in the Netherlands. If you access the Site or the Marketplace Offerings from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in the Netherlands, then through your continued use of the Site, you are transferring your data to the Netherlands, and you expressly consent to have your data transferred to and processed in the Netherlands.

17. TERM AND TERMINATION

These Terms of Service shall remain in full force and effect while you use the Site. WITHOUT LIMITING ANY OTHER PROVISION OF THESE Terms of Service, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE AND THE MARKETPLACE OFFERINGS (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE Terms of Service OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SITE AND THE MARKETPLACE OFFERINGS OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

18. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Site. We also reserve the right to modify or discontinue all or part of the Marketplace Offerings without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Site or the Marketplace Offerings.

We cannot guarantee the Site and the Marketplace Offerings will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Site, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Site or the Marketplace Offerings at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Site or the Marketplace Offerings during any downtime or discontinuance of the Site or the Marketplace Offerings. Nothing in these Terms of Service will be construed to obligate us to maintain and support the Site or the Marketplace Offerings or to supply any corrections, updates, or releases in connection therewith.

19. GOVERNING LAW

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of United States.

20. COMPLAINTS

Crowdmuse has sufficiently publicized complaints procedure and handles the complaint in accordance with this complaints procedure.

Complaints about the implementation of the agreement must be submitted fully and clearly described to Crowdmuse within a reasonable time after the consumer has discovered the defects.

Complaints submitted to the Crowdmuse will be answered within a period of 14 days from the date of receipt. If a complaint requires a foreseeable longer processing time, the entrepreneur will respond within the period of 14 days with a notice of receipt and an indication when the consumer can expect a more detailed answer.

Complaints submitted to Collaboration Partners must be made as per Collaboration Partners Terms of Service.

The consumer must give Crowdmuse and Collaboration Partners at least 4 weeks to resolve the complaint in mutual consultation. After this period, a dispute arises that is subject to the dispute settlement procedure.

21. DISPUTE RESOLUTION

You agree that any disputes or claims arising between you and Crowdmuse, including those related to these Terms of Service, the Service, or any aspect of our relationship or transactions, will be exclusively resolved through binding arbitration. This means that the disputes will be resolved by an arbitrator instead of a court, following the terms of this Arbitration Agreement. However, you may pursue individual claims in small claims court if they meet the qualifications. This Agreement does not prevent you from reporting issues to federal, state, or local agencies that can seek relief on your behalf, if allowed by law. By accepting these Terms of Service, you and Crowdmuse waive the right to a jury trial or participation in a class action. A neutral arbitrator, not a judge or jury, will determine your rights under this Agreement. The interpretation and enforcement of this Arbitration Agreement are governed by the Federal Arbitration Act.

You and Crowdmuse agree that claims can only be brought on an individual basis and not as part of a class or representative action. The arbitrator cannot consolidate or join multiple claims, and any relief awarded will only be for the individual claimant, unless public injunctive relief is required.


Binding Arbitration:

Before any dispute resolution by binding arbitration, efforts should be made to resolve disputes amicably. If unresolved, the party seeking arbitration must send a written Notice of Dispute to the other party by emailing us at gm@crowdmuse.com. If concerns are not addressed by email, a party who intends to seek arbitration must first send to the other, by certified mail, a written Notice of Dispute (“Notice”). The Notice to Crowdmuse should be sent to the address listed in the Contact Us section at the end of these terms. If the claim remains unresolved after sixty days, either party may commence an arbitration proceeding.

Arbitration will be conducted by a neutral arbitrator in accordance with the American Arbitration Association's (“AAA”) rules set forth on their website, http://www.adr.org, as modified by this Arbitration Agreement. The arbitrator will decide on issues of scope, enforceability, and arbitrability. The decision can be enforced in court with limited exceptions. Arbitration hearings will take place at a mutually convenient location, determined by the AAA rules. The arbitrator will issue a written decision explaining the findings and conclusions on which the award is based.


Costs of Arbitration:

The payment of all filing, administration, and arbitrator fees (referred to as "Arbitration Fees") will be subject to the AAA Rules, unless otherwise stated in this Arbitration Agreement. If the AAA Rules do not allocate specific fees to either you or Crowdmuse, both Crowdmuse and you will split the fees equally. However, if you can demonstrate to the arbitrator that you are economically unable to pay your share of the Arbitration Fees or if the arbitrator determines that you should not be required to pay for any other reason, Crowdmuse will cover your portion of the fees. Furthermore, if you can show to the arbitrator that the costs of arbitration would be excessively high compared to the costs of litigation, Crowdmuse will pay the portion of the Arbitration Fees deemed necessary by the arbitrator to prevent the arbitration from being prohibitively expensive. The payment of attorneys' fees will follow the AAA Rules.


Additional terms:

Arbitration proceedings and any ruling or award will be kept strictly confidential. If any term or provision of this Arbitration Agreement, except for the section on class actions and non-individualized relief, is found invalid or unenforceable, it will be replaced with a valid provision. If the section on class actions and non-individualized relief is found invalid, the entire Arbitration Agreement may be null and void, unless only with respect to claims for public injunctive relief. Crowdmuse agrees that any future changes to this Arbitration Agreement can be rejected by notifying Crowdmuse in writing within thirty days of the change. By rejecting the changes, you agree to arbitrate disputes based on the original Arbitration Agreement at the time you accepted these Terms of Service.

22. CORRECTIONS

There may be information on the Site that contains typographical errors, inaccuracies, or omissions that may relate to the Marketplace Offerings, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Site at any time, without prior notice.

23. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) use of the Site; (2) any breach of your representations and warranties set forth in these Terms of Service; (3) your violation of the rights of a third party, including but not limited to intellectual property rights; or (4) any overt harmful act toward any other user of the Site with whom you connected via the Site. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

24. USER DATA

We will maintain certain data that you transmit to the Site for the purpose of managing the performance of the Site, as well as data relating to your use of the Site. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Site. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

25. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SITE. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.

26. MISCELLANEOUS

These Terms of Service and any policies or operating rules posted by us on the Site or in respect to the Site constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms of Service shall not operate as a waiver of such right or provision. These Terms of Service operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms of Service is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms of Service and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms of Service or use of the Site. You agree that these Terms of Service will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Terms of Service and the lack of signing by the parties hereto to execute these Terms of Service.

THE SITE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NFTS EXIST ONLY BY VIRTUE OF THE OWNERSHIP RECORD MAINTAINED IN THE ASSOCIATED BLOCKCHAIN (E.G., ETHEREUM NETWORK). ANY TRANSFERS OR SALES OCCUR ON THE ASSOCIATED BLOCKCHAIN (E.G., ETHEREUM). CROWDMUSE AND/OR ANY OTHER CROWDMUSE PARTY CANNOT EFFECT OR OTHERWISE CONTROL THE TRANSFER OF TITLE OR RIGHT IN ANY NFTS OR UNDERLYING OR ASSOCIATED CONTENT OR ITEMS.

NO CROWDMUSE PARTY IS RESPONSIBLE OR LIABLE FOR ANY SUSTAINED LOSSES OR INJURY DUE TO VULNERABILITY OR ANY KIND OF FAILURE, ABNORMAL BEHAVIOR OF SOFTWARE (E.G., WALLET, SMART CONTRACT), BLOCKCHAINS OR ANY OTHER FEATURES OF THE NFTS. NO CROWDMUSE PARTY IS RESPONSIBLE FOR LOSSES OR INJURY DUE TO LATE REPORTS BY DEVELOPERS OR REPRESENTATIVES (OR NO REPORT AT ALL) OF ANY ISSUES WITH THE BLOCKCHAIN SUPPORTING THE NFTS, INCLUDING FORKS, TECHNICAL NODE ISSUES OR ANY OTHER ISSUES HAVING LOSSES OR INJURY AS A RESULT.

LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US.
